These Terms of Service ("Terms") constitute a legally binding agreement between you and Elevate Media Platform, Inc. ("Elevate", "we", "us", or "our") governing your access to and use of EMP Studio at emp.studio (the "Platform").
By creating an account or using the Platform in any way, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Platform.
EMP Studio is a creator intelligence, distribution, and campaign management platform that enables:
Access to the Platform is by invitation only unless registration has been opened for your account type. We reserve the right to modify, suspend, or discontinue any part of the Platform at any time.
You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
The Platform supports multiple account types: Creator, Brand, Agency, Distributor, Organization (MCN), and Platform Administrator. Features and data access vary by account type and subscription tier. Internal administrators may adjust your account type or access level at any time.
You agree to notify us immediately at support@elevate-m.com of any unauthorized use of your account. We are not liable for losses resulting from unauthorized account access due to your failure to maintain credential security.
You may close your account at any time by contacting us. Upon closure, your data will be handled in accordance with our Privacy Policy.
The Platform allows you to connect third-party accounts (YouTube, Instagram, TikTok, Twitch, Kick, LinkedIn, Twitter/X, Spotify, Google Drive, and others) via OAuth authorization. By connecting a third-party account, you authorize us to access data made available through that platform's API on your behalf.
Your use of connected third-party platforms is subject to those platforms' own terms of service. Specifically, use of YouTube features through our Platform is subject to the YouTube Terms of Service. We are not responsible for third-party platform policies, data availability, or API changes.
You may disconnect any third-party integration at any time from the Integrations page within the Platform. You may also revoke Google OAuth access directly from your Google Account Permissions.

We reserve the right to suspend or terminate accounts that violate these provisions without prior notice.
You retain ownership of all content and data you submit to the Platform, including creator profiles, uploaded documents, and financial information. By submitting content, you grant us a limited, non-exclusive license to use, process, and display that content solely to operate and improve the Platform.
AI-generated insights, forecasts, audience profiles, and reports produced by the Platform are provided for informational purposes only. They do not constitute financial, legal, or business advice. You are solely responsible for decisions made based on Platform outputs.
Analytics data is sourced from third-party APIs and may not always be current or accurate. We do not warrant the completeness, accuracy, or timeliness of any data displayed on the Platform.
We may use aggregated, anonymized, and de-identified data for product improvement, benchmarking, and research purposes. Such data will not identify you or any individual.
The Platform offers free and paid subscription tiers. Features available on each tier are described within the Platform and may change at our discretion with reasonable notice.
Paid subscriptions are billed in advance on a monthly or annual basis. All fees are stated in US dollars and are non-refundable except as required by applicable law or as expressly stated in a separate agreement.
Brand and agency accounts may be subject to a transaction fee on campaign deals facilitated through the Platform. The applicable fee percentage is disclosed within your account settings and varies by subscription tier.
Certain AI-powered features consume platform credits. Credits are allocated monthly based on your subscription tier, do not roll over between billing periods, and cannot be exchanged for cash.
We reserve the right to change subscription prices with at least 30 days' notice. Continued use of the Platform after a price change constitutes acceptance of the new pricing.
The Platform, including its software, design, algorithms, and all associated intellectual property, is owned by Elevate Media Platform, Inc. and protected by applicable intellectual property laws. These Terms do not grant you any rights in the Platform beyond the limited license to use it as described herein.
If you submit suggestions, ideas, or feedback regarding the Platform, you grant us an irrevocable, royalty-free, worldwide license to use such feedback without restriction or compensation to you.
"EMP Studio," "Elevate Media Platform," the EMP logo, and related marks are trademarks of Elevate Media Platform, Inc. You may not use these marks without our prior written consent.
Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Platform, you consent to the data practices described in our Privacy Policy.
The Platform may display non-public information about creators, brands, agencies, and business relationships. You agree to treat all such information as confidential and not to disclose it to third parties without the express written consent of the relevant party. This obligation survives termination of your account.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.
We do not warrant that the Platform will meet your requirements, that data will be accurate or complete, that defects will be corrected, or that the Platform or its servers are free of viruses or other harmful components.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELEVATE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Elevate and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit to the Platform.
You may stop using the Platform and close your account at any time by contacting us at support@elevate-m.com.
We reserve the right to suspend or terminate your access to the Platform at any time, with or without cause, including for violation of these Terms. We will endeavor to provide reasonable notice where practicable.
Upon termination, your right to access the Platform ceases immediately. Sections 6, 8, 10, 11, 12, 13, and 15 survive termination.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved by binding arbitration in Los Angeles County, California, under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
You waive any right to participate in a class-action lawsuit or class-wide arbitration.
We may modify these Terms at any time. Material changes will be communicated to registered users via email or in-platform notice at least 14 days before taking effect. The "Last updated" date at the top of this page reflects the most recent revision.
Continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and close your account.
Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Elevate regarding your use of the Platform and supersede all prior agreements.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force.
No Waiver. Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
Assignment. You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights freely.
Force Majeure. We are not liable for any failure to perform resulting from circumstances beyond our reasonable control.
